EXHIBITOR TERMS AND CONDITIONS

COMPLETE AGREEMENT: This agreement contains all the terms and conditions agreed to by TS Northwest, hereinafter referred to as Management, and the Exhibitor. No other agreements, oral or otherwise, regarding the subject matter of this contract, shall be deemed to exist or to bind any of the parties hereto.

EXHIBITOR HOURS: Management shall determine and publicize the Exhibitor show hours and Exhibitors will be admitted one hour prior to the show being open to the public. Exhibitor is contracted to occupy show booth for the entire show. Unattended Exhibitor booths during show hours will result in booth forfeit or reassignment. No exhibits or merchandise may be removed from show facility and/or buildings until the close of the show.

EXHIBITOR PAYMENT: All Exhibitor booth fees must be paid in full 60 days prior to show start date. Failure to make payment shall entitle Management to cancel this agreement without notice and Exhibitor shall remain liable for the unpaid balance plus a late fee equal to amount stated on Exhibitor agreement. In the event a collection agency is used the Exhibitor will incur all cost of collection. 

EXHIBITOR BOOTH: For Exhibitor booth description (i.e. drapes, electricity, etc.) refer to the facility layout, specifically booth space description. Exhibitors who require special needs should contact the show decorator or facility. Tables, chairs and carpet are available from the show decorator. 

BOOTH SUBLEASE: Space contracted for use is to be used by the Exhibitor whose name appears on the contract and no portion can be sublet or assigned. Exhibitor shall forfeit their right to exhibit, all prepaid rentals and pay any rent balance owing to Management if he fails to occupy, use his space, or to have his exhibit completed and in place by the opening of the show.

BOOTH AISLES: All exhibits and their personnel must remain within the confines of their own spaces and no Exhibitor will be permitted to erect signs or display products that injure or disadvantageously affect the display of other Exhibitors. All product demonstrations, distribution of circulars and promotional materials are confined to the limits of the Exhibitor’s booth. Exhibits which include the operation of musical equipment, radios, sound motion picture equipment, public address systems or any noise making machines must be operated so that the noise will not disturb adjacent Exhibitors and their patrons.

BOOTH DISPLAYS: All displays, signs, partitions, apparatus, shelving, structures, etc. may extend no more than 2 feet from the ceiling or 10 feet above the floor whichever comes first. Height of displays on side walls is limited to 8 feet for first 3 feet then must be no more than 3 feet high to the aisle way. All enclosed structures must have a ceiling constructed so every 4 sq. ft of ceiling is open and exposed to the fire sprinkler system. Exhibitors must protect floors from damage when displaying or constructing exhibits. All displays requiring water must be approved by Management. The aisles, passageways and overhead spaces remain under the control of Management and no signs, decorations, banners, advertising matter of exhibits will be permitted in those areas. Exhibitors are required to have their space neat and orderly at all times.

BOOTH REASSIGNMENT: Management reserves the right to move an Exhibitor to a different location to conform to any facility rules or city, county, state or federal laws. The Exhibitor will forfeit Exhibitor space and all prepaid monies if the Exhibitor fails to occupy space one hour before show opening or violates any terms and conditions of this agreement. 

BOOTH RESERVATIONS: This agreement does not reserve or guarantee the Exhibitor any space, specific area, or space priority in current or future shows. Management will make every effort to maintain Exhibitor location.

RESTRICTIONS: The Management reserves the right to restrict or remove exhibits without refund, that have been falsely entered, or are deemed by the Management unsuitable or objectionable. This restriction applies to, but is not limited to, noise, PA systems, persons, things, conduct, printed matter or anything of a character that might be objectionable to the show or the Management. No animals allowed without written consent to Management. All exhibits must comply with facility rules, city ordinances, fire Marshall regulations and/or area health department regulations, for further information contact the applicable office.

BOOTH CANCELLATIONS: Cancellation of this contract must be in writing to be accepted. If this agreement is canceled by Exhibitor for any reason or by Management due to Exhibitor’s default or violation of this agreement, payments made to TSN Show Management by Exhibitor shall be retained as follows: Sixty days or longer prior to the show, Management will retain 45 percent of the total cost of the space. If cancellation occurs within 60 days prior to the show no refund will be made.

PRODUCTS OR SERVICES: The Exhibitor is contracted to display the products or services as represented on this agreement. Failure to display in whole or in part the agreed products or services is a breach of this agreement and Exhibitor may forfeit Exhibitor space. Management is under no obligation to limit or control other Exhibitors selling the same products or services. No exclusives.

CONCESSIONS: Management prohibits the sale of concessions.

PROMOTION & ADVERTISING: Any and all advertising or promotions must be approved by Management, no exceptions. All references to show will use the official show name, no exceptions. Exhibitor is prohibited from using any registered trade name own by Management to promote any product or services. Violators will be prosecuted. 

LIABILITY: The Exhibitor is entirely responsible for the space rented by him and shall not injure, mar or deface the premises. The Exhibitor shall not drive any pins, nails, hooks, tacks, or screws in any part of the premises. Furthermore, Exhibitors shall not affix to the walls or windows of the facility advertisements, signs, etc. or use scotch tape, masking tape or any other adhesive type material on painted surfaces. Cars, trucks, construction equipment etc. shall provide protection of the floor against any staining substance and all landscaped areas must provide similar protection. The Exhibitor agrees to reimburse the Management and/or show facility for any loss or damage occurring to the premises or equipment used at the event.

MANAGEMENT LIABILITY: Management shall not be liable for any damages or expenses incurred by Exhibitor in the event the show is delayed, interrupted or not held as scheduled. If for any reason beyond the control of the Management, the show is not held, Management reserves the right to keep payments made by Exhibitors as is necessary to defray expenses already incurred by the Management.

INDEMNIFICATION: Exhibitors shall indemnify and hold harmless Management and the Show Facility from and against all claims, damages, losses, or injury to any person and expenses including attorney’s fees arising out of or resulting from the activities of TS Northwest and/or its officers, contractors, licensees, agents, servants, employees, guests, visitors or Exhibitors and their officers, contractors, licensees, agents, servants, employees, guests, visitors . In Addition, Management is not responsible for damages or losses resulting from performance of live or recorded music or other copyrighted works, disputes between Exhibitors or unfair trade practices.

INSURANCE: Exhibitors must secure and maintain liability insurance, naming TS Northwest as additionally insured to protect against claims that result from actions of Exhibitor. Neither Management or the Show facility is responsible for loss of goods or services regardless of cause during the event. Exhibitor assumes all risks or losses that may occur during an event produced by Management.

ATTORNEY’S FEES: If a civil action arises between the parties out of this agreement or to enforce any of its provisions, the losing party shall pay all attorney’s fees of the prevailing party. If an appeal is taken from any judgment of trial court, the losing party shall pay all attorney’s fees of the prevailing parties.

LICENSES/PERMITS: Any and all city, county, state or federal licenses, inspections or permits including fire permits required by law of any exhibition in the installation or operation of Exhibitors display shall be obtained by the Exhibitor at their own expense prior to the show opening. 

SWEEPSTAKES: Door prize entries, lottery, raffle, chance games and contests must be submitted in writing and approved by Management. 

FIRE REGULATIONS: All fire department regulations and requests will be enforced at the expense of the Exhibitor. Only approved materials deemed by the fire department will be allowed to display and are subject to inspection.

EXHIBITOR CONSENT: Management reserves the right to use any photographs, video & audio reproductions, interviews or quotations of Exhibitor and their representatives without royalty payments to Exhibitor for the purpose of promoting the current and future shows.
